Terms of Service

By accessing or using ScopeRun ("the Service," "we," "us," or "our"), you agree to be bound by these Terms of Service. If you do not agree, do not use the Service.

ScopeRun is a software-as-a-service (SaaS) application designed for small general contractors and construction professionals to manage projects, invoices, estimates, expenses, and communications. These terms govern your access to and use of the web application, mobile-optimized interface, and any related services.

You must be at least 18 years old and legally capable of forming a binding contract to use ScopeRun. By creating an account, you represent and warrant that you meet these requirements.

You are responsible for maintaining the security of your account:

• Keep your password confidential and secure • Use a strong, unique password that you do not reuse on other sites • Promptly notify us of any unauthorized access or security breach • Ensure all account information you provide is accurate and current

You are solely responsible for all activity that occurs under your account. ScopeRun is not liable for any loss or damage arising from your failure to secure your account credentials.

You may not share your account with others outside your authorized team. Each team member must have their own account or seat (where applicable).

ScopeRun offers subscription plans with a 7-day free trial:

**Free Trial:** • New accounts receive a 7-day free trial with no credit card required • At the end of the trial, you must select a paid plan to continue accessing premium features • You may cancel at any time during the trial without charge

**My Plan (Subscriptions):** • Subscriptions are billed monthly in advance • All fees are in U.S. dollars and exclude applicable taxes • Payment is processed through Stripe or another PCI-compliant payment processor • We do not store your full credit card number

**Cancellation & Refunds:** • You may cancel your subscription at any time from your account settings • Cancellation takes effect at the end of the current billing period • No partial-month refunds are provided • We reserve the right to offer refunds in exceptional circumstances at our sole discretion

**Plan Changes:** • Upgrading takes effect immediately; you will be charged the prorated difference • Downgrading takes effect at the start of the next billing cycle

You agree not to use ScopeRun for any unlawful or prohibited purpose, including:

• Uploading, storing, or transmitting any illegal, defamatory, infringing, or harmful content • Using the Service to harass, abuse, or harm others • Attempting to gain unauthorized access to any part of the Service or other users' accounts • Interfering with or disrupting the integrity or performance of the Service • Using automated systems (bots, scrapers) to access the Service without authorization • Circumventing any access or usage restrictions

You are responsible for the accuracy and legality of all data you input into ScopeRun, including customer information, project details, and financial records.

We reserve the right to investigate and take appropriate action against anyone who violates these rules, including suspension or termination of access.

ScopeRun is provided "as is" and "as available" without warranties of any kind:

**Disclaimer:** • We do not guarantee uninterrupted, timely, secure, or error-free service • We do not warrant that the Service will meet your specific requirements or expectations • We are not responsible for decisions you make based on data or AI-generated content within the app • AI-generated email drafts and suggestions should be reviewed before sending

**Limitation of Damages:** • To the maximum extent permitted by law, ScopeRun and its affiliates, officers, and employees will not be liable for any indirect, incidental, special, consequential, or punitive damages • Our total liability for any claim arising out of or relating to these terms shall not exceed the amount you paid us in the 12 months preceding the claim • This limitation applies regardless of the legal theory (contract, tort, negligence, strict liability, or otherwise)

**Your Data:** • While we implement robust backup and security measures, you are encouraged to regularly export critical business data • We are not liable for data loss resulting from your failure to maintain backups

**Our IP:** ScopeRun and its original content, features, and functionality (including but not limited to software, code, designs, logos, and AI models) are and will remain the exclusive property of ScopeRun and its licensors. The Service is protected by copyright, trademark, and other laws. You may not copy, modify, distribute, or create derivative works of any part of the Service without our express written permission.

**Your IP:** You retain all ownership rights to the data you input, upload, or generate using ScopeRun, including customer information, project details, invoices, estimates, and uploaded files. We do not claim ownership of your business data.

**Feedback:** If you provide feedback, suggestions, or ideas about the Service, you grant us a perpetual, irrevocable, royalty-free license to use that feedback without restriction.

We may suspend or terminate your account at our discretion if:

• You violate these Terms of Service • We are required to do so by law or legal process • Your use poses a security risk or harms other users • You fail to pay applicable fees after the free trial ends

**Effect of Termination:** • Upon termination, your right to use the Service immediately ceases • We may delete your account data in accordance with our Privacy Policy • You may request an export of your data prior to account deletion • Certain provisions (including Intellectual Property, Limitation of Liability, and Governing Law) survive termination

You may terminate your account at any time by contacting us or using the account deletion feature in Settings.

As a contractor using ScopeRun, you bear full responsibility for the business data you manage:

**Customer Data:** • You must obtain any necessary consents from your customers to store their information • You are responsible for the accuracy of customer records, invoices, and estimates • You must comply with all applicable privacy and data protection laws in your jurisdiction

**Invoices & Financial Records:** • You are responsible for ensuring invoices are accurate and legally compliant • ScopeRun provides tools to generate invoices; compliance with tax and billing regulations is your responsibility • Payment processing terms (when available) are subject to Stripe's terms and your agreement with them

**Licenses & Compliance:** • You represent that you hold all necessary contractor licenses and permits for your work • ScopeRun does not verify licensing status and is not responsible for compliance with local, state, or federal regulations

These Terms of Service are governed by and construed in accordance with the laws of the State of California, United States, without regard to its conflict of law principles.

**Dispute Resolution:** • Any dispute arising out of or relating to these terms shall first be addressed through good-faith negotiation • If negotiation fails, disputes shall be resolved through binding arbitration in San Francisco County, California • You agree to submit to the personal jurisdiction of the federal and state courts located in San Francisco County, California

**Class Action Waiver:** You agree that any proceedings will be conducted only on an individual basis and not in a class, consolidated, or representative action.

**Severability:** If any provision of these terms is held invalid or unenforceable, the remaining provisions will continue in full force and effect.

**Entire Agreement:** These Terms of Service, together with our Privacy Policy, constitute the entire agreement between you and ScopeRun regarding the Service.

We may update these Terms of Service from time to time:

• Material changes will be notified via email or in-app notice at least 30 days before taking effect • Continued use of the Service after changes constitutes acceptance of the updated terms • If you do not agree to the changes, you must stop using the Service and may delete your account
